Welcome to Superconscious ("Agency," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our website, platform, consulting services, AI solutions, deliverables, and related offerings (collectively, the "Services").

By accessing or using our Services, you agree to these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. Please read these Terms carefully.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of entering into a binding agreement to use our Services. By using the Services, you represent that all information you provide is accurate, complete, and current.

2. Our Services

Superconscious is an AI consulting agency that provides professional services, including but not limited to:

• AI strategy consulting
• Custom AI development and integration
• Data analysis and AI implementation
• AI advisory and training
• AI applications

We deliver these Services through project-based engagements, statements of work ("SOWs"), or other agreements. We may use third-party AI technologies, models, or tools (e.g., large language models) to provide or enhance the Services.

We are not a software-as-a-service (SaaS) provider for general public use. Our Services are professional consulting services provided to businesses and organizations.

3. Engagement and Statements of Work

To access certain Services, you must enter into a specific engagement, SOW, or other written agreement with us. Each SOW will specify the scope, deliverables, timelines, fees, and other terms.

You agree to provide accurate and timely information, data, access, and cooperation necessary for us to perform the Services. You are solely responsible for the accuracy, legality, and appropriateness of any data or inputs ("Inputs") you provide.

4. Payments

Fees are specified in the applicable SOW or invoice. You agree to pay all fees in accordance with the payment terms stated therein.

We may use third-party payment processors. You authorize us to charge your payment method for fees, expenses, and any applicable taxes. Late payments may incur interest and collection fees.

We may suspend Services if payments are overdue.

5. Intellectual Property

Our Background IP — We retain ownership of all pre-existing materials, methodologies, tools, algorithms, templates, and know-how ("Background IP") used in providing the Services.

Deliverables — Subject to full payment, we grant you a perpetual, non-exclusive, worldwide, royalty-free license to use the deliverables ("Deliverables") created specifically for you under the SOW for your internal business purposes.

AI Outputs — Due to the nature of AI, outputs ("Outputs") may not be unique and similar outputs may be generated for other clients. You own the Outputs, but we retain rights to our Background IP and any general learnings or improvements derived from providing the Services.

You grant us a limited, worldwide license to use your Inputs solely to provide the Services and improve our offerings (including training AI models, unless otherwise agreed in writing).

6. AI-Specific Provisions

• Accuracy and Reliability — AI technologies are probabilistic and evolving. Outputs may contain errors, hallucinations, biases, or inaccuracies. You must review and validate all Outputs before relying on them. We do not guarantee the accuracy, completeness, or suitability of any Output for any purpose.
• Third-Party AI — We may use third-party AI models or services. You agree to comply with their terms of use (provided upon request).
• Data Usage — Unless specified otherwise in the SOW, we may use anonymized, aggregated data from engagements to improve our models and services.
• Bias and Fairness — AI may reflect biases in training data. You are responsible for assessing and mitigating any bias in Outputs for your use case.

7. Confidentiality

Each party agrees to keep the other's confidential information secure and not disclose it except as necessary to perform the Services or as required by law. This obligation survives termination.

8. Prohibited Uses

You may not use the Services to:

• Violate any law, regulation, or third-party rights
• Generate harmful, illegal, discriminatory, or offensive content
• Reverse engineer, decompile, or attempt to derive our proprietary technology
• Use Outputs to train competing AI models without our written consent
• Misrepresent Outputs as human-generated when they are AI-generated, if required by applicable law

9. Termination

Either party may terminate an engagement or SOW as specified therein. We may suspend or terminate Services if you breach these Terms, fail to pay, or engage in unlawful activity.

Upon termination, you must pay all outstanding fees. Certain provisions (e.g., IP, confidentiality, indemnification, limitation of liability) survive termination.

10. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, consequential, special, or punitive damages
• Our total liability for any claim arising from the Services is limited to the fees paid by you under the relevant SOW in the 12 months preceding the claim

11. Indemnification

You agree to indemnify and hold us harmless from claims arising from your Inputs, your use of Outputs, your violation of these Terms, or your breach of applicable laws.

We agree to indemnify you for claims that the Services infringe third-party intellectual property rights (subject to standard exceptions).

12. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Los Angeles County, California.

13. Changes to These Terms

We may update these Terms from time to time. Significant changes will be notified via email or on our website. Continued use of the Services after changes constitutes acceptance.
